1. Introduction

These Terms of Service ("Terms") govern your use of Equity Spotlight, operated by Proofbox GmbH, Germany ("we," "us," "our"). By creating an account, you agree to these Terms.

2. Description of Service

Equity Spotlight is an educational platform that delivers weekly stock analysis content ("Spotlights") via Telegram or WhatsApp. Content is generated for educational purposes using an AI-powered analysis pipeline covering 7 global exchanges.

3. Educational Content Disclaimer

All Spotlights and analysis are for educational and informational purposes only. Nothing on this platform constitutes investment advice, a recommendation, or a solicitation to buy, sell, or hold any security. Proofbox GmbH is not a licensed investment advisor. Consult a qualified financial advisor before making investment decisions.

4. Eligibility

You must be at least 18 years of age to use the service. By registering, you confirm you meet this requirement and that your use complies with all laws in your jurisdiction.

5. Account Registration

You register with your email address and a secure sign-in link. You are responsible for maintaining the security of your account. Report unauthorized access immediately to hello@equity-spotlight.com.

6. Subscriptions and Payment

Subscriptions are billed monthly or annually via Stripe. Prices are displayed at checkout and include applicable taxes where Stripe acts as Merchant of Record. Subscriptions renew automatically unless cancelled.

You may cancel at any time from your dashboard. Upon cancellation, access continues until the end of the current billing period. No refunds are provided for partial periods, except as required by applicable consumer protection law.

7. Free Trial

New subscribers receive a 7-day free trial. A valid payment method is required to start the trial. If you do not cancel before the trial ends, your subscription automatically converts to a paid plan and your payment method will be charged.

8. Acceptable Use

You may not redistribute, resell, republish, or commercially exploit Spotlight content without written permission. Automated scraping or bulk downloading of the service is prohibited.

9. Intellectual Property

All content, analysis, and software is owned by or licensed to Proofbox GmbH. You receive a personal, non-transferable, non-exclusive license to access content for your own non-commercial educational use.

10. Disclaimer of Warranties

The service is provided "as is" and "as available." We make no warranty that the service will be error-free, uninterrupted, or accurate. Analysis may contain errors or omissions.

11. Limitation of Liability

To the maximum extent permitted by law, Proofbox GmbH shall not be liable for indirect, incidental, special, or consequential damages arising from use of the service. Our total liability shall not exceed the amount you paid in the 12 months preceding the claim.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

12. Termination

We may suspend or terminate accounts that violate these Terms. You may delete your account at any time from your dashboard or by contacting hello@equity-spotlight.com.

13. Governing Law

These Terms are governed by the laws of Germany. For EU consumers, mandatory consumer protection provisions of your country of residence also apply. Disputes shall be subject to the exclusive jurisdiction of the courts of Germany.
